NON-DISCLOSURE AGREEMENT

This Non-Disclosure Agreement ("Agreement") is entered into by and between Simple Trust Portal ("Disclosing Party") and the individual or entity accessing security documentation ("Receiving Party").

1. Confidential Information
The Receiving Party acknowledges that the security documentation, including but not limited to security controls assessments, incident response plans, compliance mappings, and related materials (collectively, "Confidential Information"), contains proprietary and confidential information of the Disclosing Party.

2. Obligations
The Receiving Party agrees to:
Use the Confidential Information solely for the purpose of evaluating a potential business relationship with Simple Trust Portal
Protect the Confidential Information using the same degree of care used to protect its own confidential information, but no less than reasonable care
Not disclose the Confidential Information to any third party without prior written consent from Simple Trust Portal
Limit access to the Confidential Information to employees, contractors, or advisors who have a legitimate need to know and who are bound by confidentiality obligations

3. Exclusions
This Agreement does not apply to information that:
Is or becomes publicly available through no breach of this Agreement
Was rightfully in the Receiving Party's possession prior to disclosure
Is independently developed by the Receiving Party without use of the Confidential Information
Is required to be disclosed by law or court order (with prior notice to Disclosing Party where permitted)

4. Term and Termination
This Agreement shall remain in effect for two (2) years from the Effective Date. Upon termination or upon request, the Receiving Party shall promptly return or destroy all Confidential Information and certify such destruction in writing.

5. No License
Nothing in this Agreement grants the Receiving Party any rights, licenses, or interests in the Confidential Information except as expressly stated herein.

6. General Provisions
This Agreement shall be governed by the laws of the State of [Your State], without regard to conflict of law principles. This Agreement constitutes the entire agreement between the parties regarding the subject matter herein.

BY ACCESSING THE SECURITY DOCUMENTATION, THE RECEIVING PARTY ACKNOWLEDGES THAT THEY HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT.
